2.4 GenderDiversity
The Board is supportive of the gender boardroom diversity recommended by the Code. The Board currently has 2 female
Directors out of a total of 8Directors.
The Board will annually review the proportion of the female to male board members during the annual assessment of the
Directors’ performance taking into consideration the appropriate skills, experience and characteristics requiredby theGroup.
2.5 RemunerationCommitteeandDirectors’ RemunerationPolicies
TheRemunerationCommittee (“RC”) was establishedon1August 2005. TheRC compriseswholly of the following Independent
Non-ExecutiveDirectors:

RC carries out the annual review of the overall remuneration policy for Directorswhereupon recommendations are submitted to
the Board for approval. The RC and the Board ensure that theGroup’s remuneration policy remains supportive of its corporate
objectives and is alignedwith the interest of shareholders. Furthermore, theDirectors are sufficiently remunerated to attract and
to retain persons of high calibre. The RC is authorised by the Board to seek appropriate professional advicewithin and outside
theGroup as andwhen it considers it necessary.
Meeting of theRC shall be held at least once in a financial year. During the financial year ended 31December 2013, one (1) RC
meetingwas heldwhichwas attendedby all themembers.
The RC had reviewed the remuneration package for the Managing Director and Executive Directors of the Company. The
remuneration/fees of the Non-Executive Directors shall be determined by the Board as a whole where each individual Director
abstains fromdiscussion on their own remuneration/fees. The directors’ feeswill be subject to the shareholders’ approval at the
Company’s forthcomingAGM.
